The BY-LAWS of the Illnois LAtino Council on Higher Education

Article 1: Name and Purpose

Section 1: The name of this organization shall be the Illinois Latino Council on Higher Education, ("ILACHE")

Section 2: ILACHE's purpose if to promote an understanding of the higher education needs of the Latino populations. To promote access to and participation in all levels and areas of higher education for the Illinois Latino population. To establish and maintain a network of Latino and non-Latino higher educational professionals who possess a professional and/or personal commitment to higher education issues of concern to the Illinois Latino populations. To disseminate information about issues of concern for Illinois Latino populations in Higher education.

Article 2: Membership

Section 1: Membership is open to those who are in agreement with ILACHE's purposes as set forth in these By-laws and in its articles of Incorporation. ILACHE prohibits discrimination for membership, and among its membership, on the basis of sex, race, religion, nationality, ethnicity, physical handicap or sexual orientation.

Section 2: There shall be classes of members:
(A) General members. Any individual, institution, community based organization, corporate entity, 2 year colleges, and 4 year colleges which are eligible for membership in ILACHE. Voting members must be in good standing with ILACHE and must be current in their paid dues.
(B) Student members, Latino students in state or private institution on any field of discipline. Student members may attend and speak at ILACHE meetings but may not vote on any issue before the membership.

Section 3: Censure, Suspension and Revocation of membership.
(A) The Board may censure, suspend or expel any member for cause upon the recommendation of the membership committee, the membership of the Board. Before such action may be taken, the member has a right to a hearing before the Board in which they have reasonable opportunity to present their defense.
(B) Failure to pay membership dues or allowing same to lapse shall be grounds for suspension and termination of membership.

Article 3: Meetings

Section 1: Annual Meeting. There shall be one annual meeting of the membership of ILACHE to be held at the time to be announced by the Executive Board each year. Written notice of the annual meeting shall be mailed to the membership not less than three weeks prior to the annual meeting.

Section 2: Regular and special meetings.
(A) Regular meetings of the members of ILACHE shall be held once a year at a time and place to be fixed by the Board as provided as the by-laws. Written notice of regular meetings shall be mailed to the membership not less than three weeks prior to a regular meeting.
(B) The chairperson of ILACHE, any person designated by the Chairperson or a majority of the Board may call a special meeting of the members of ILACHE. Members shall receive reasonable notice of special meetings.
(C) Quorum. For any annual, regular or special meetings of ILACHE's membership, quorum shall consist of the voting members at said meeting. Voting by proxy is allowed if the absent member has sent a reasonable written notice to the ILACHE member designated to vote on his/her behalf. Said written notice must be executed by the absent member in order to be valid.

Article 4: Officers

Section 1: The Officers of ILACHE shall be a Chairperson, a Vice-Chairperson, a Secretary and a Treasurer.
(A) Chairperson. The Chairperson shall govern ILACHE in accordance with these By-laws and the Articles of Incorporation. The Chairperson shall preside at all the regular, annual, special and Board meetings. The Chairperson shall have the power to appoint all standing committees and all special committees; to designate the Chairperson of such committees; and to fill any vacancy in such committees with the advise and consent of the Board or of the members.
(B) Vice-Chairperson. The Vice-Chairperson shall assist the Chairperson in the discharge of the chairperson's duties and responsibilities. The Vice-Chairperson shall perform such other duties as directed by the Chairperson or the Board. In the absence of the Chairperson, the Vice-Chairperson shall have the powers and duties of the Chairperson.
(C) Secretary. The Secretary shall keep a record of all proceedings of ILACHE; keep a record of the membership list; give notice of all meetings, except meetings of committees and perform such other duties as directed by the Chairperson or the Board.
(D) Treasurer, The Treasurer shall have custody of and be responsible for all of ILACHE funds; shall deposit all such funds in the name of ILACHE in suck banks, trust companies or other depositories as shall be designated by the Board; shall provide such reports, records and accounts, and at the time and manner, as requested by the Board; and perform such other duties as directed by the Chairperson or the Board. The Board determine the sum, if any, of the bond which the Treasurer shall give for the suety and with whom the bond shall be taken.

Section 2: The officers shall be designated by the Board at the annual membership meeting. A majority vote of the Board is necessary to designate an officer. If there is only one candidate for any particular office, the person may be elected by a voice vote of the Board.

Section 3: If any office shall become vacant, the Board shall, at the earliest possible time thereafter, appoint a voting member to fill the vacancy. The member appointed shall immediately hold the powers of that office until the next designation by the Board.

Section 4: No officer shall use the name of ILACHE without the approval of the Board

Section 5: Office terms shall be one year.

Article 6: Dues

Section 1: The annual dues for each student members shall be $15.00 per year; the annual dues for each Associate member shall be $30.00 per year. The membership dues year period shall be set by resolution of the Board.

Section 2: Any member who fails to pay dues within sixty days after the date on which such dues are payable shall thereupon be in default. Any member who is in default for more than thirty days shall have their ILACHE membership revoked and suspended

Section 3: Notwithstanding the foregoing provision, the Board shall have the power to waive the revocation or suspension of membership for more than thirty days, however, shall not serve in an elected or appointed position.

Article 7: Committee

The Chairperson, with the advice and consent of the Board, may designate such standing and special committees as may be desirable to expedite ILACHE's business and promote its purpose. Except as otherwise herein provided, the chairperson shall appoint all standing and/or special committees, designate the number of members and the chairperson thereof, prescribe their duties and purposes and, in the event of the death, disqualification or resignation of any member of any committee, appoint a successor to fill the unexpired term.  Current standing committees are: a) Membership/Marketing, b) Conference, c) Newsletter, and d) Policy/Legislative.  The current Adhoc Committee is Programming/Education.

Article 8: Finance and Accounting

Section 1: The fiscal year of ILACHE shall be set by resolution of the Board.

Section 2: The Board may authorize by resolution any officer or officers, agent or agents to enter into any contract or execute and deliver any instrument in the name and on behalf of ILACHE. Such authority may be granted or confined to specific instances.

Section 3: All checks, drafts or other instruments for the payment of money, notes or other evidences of indebtedness issued in the name of ILACHE, shall be signed by such officer or officers, agent or agents of ILACHE and in such manner as shall from time to time be determined by resolution of the Board. No expense shall be incurred by any officer or any committee without the prior approval of the Board.

Section 4: The Board shall have power to accept on behalf of ILACHE any contribution gift, bequest or device for the general purposes or for any special purpose or activity of ILACHE.

Article 9: Amendment of By-Laws

Section 1: Before any proposed amendments of these By-laws is voted upon, a copy of the entire Article sought to be amended shall be submitted to the Secretary. The article submitted shall read in the same manner as it will read if the proposed amendment is adopted.

Section 2: The Secretary shall present the proposed amendment at any regular or special Board meeting. No proposed amendment shall be submitted to a vote of the membership unless it shall have received an affirmative majority vote of the members of the Board. If such amendment receives the Board's majority approval, notice of the proposed amendment shall be given to the given to the membership by the Secretary at least thirty days before the meeting at which the amendment is to be voted upon.

Section 3: A majority of the membership present at any regular or special meeting is required to adopt ant amendment. Unless the amendment provides otherwise, an amendment approval by the voting membership shall become effective immediately.
